On Dec. 16, 2019, Archrock (NYSE:AROC) revealed the pricing of the private offering by Archrock Partners, L.P. (Archrock Partners), a wholly-owned subsidiary of Archrock, of $500 million aggregate principal amount of 6.250% senior notes due 2028 (the Notes) at an issue price of 100% of their face value. The size of the offering was increased by $100 million from the previously announced offering size of $400 million. The offering is expected to close on December 20, 2019, subject to the satisfaction of customary closing conditions. Archrock Partners Finance Corp., a wholly-owned subsidiary of Archrock Partners, will serve as co-issuer of the Notes. Archrock Partners intends to use the net proceeds of the sale of the Notes to partially repay outstanding borrowings under its revolving credit facility and for general partnership purposes.
The Notes have not been registered under the Securities Act of 1933, as amended (the Securities Act), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and the rules promulgated thereunder and applicable state securities laws. The Notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
